Board of Directors
The PEMS Board of Directors serves as representatives of the public and in the public interest. They shall represent the entire region served by this Corporation and shall vote for the best interest of the area as a whole.

Board of Directors  

The PEMS Board of Directors serves as representatives of the public and in the public interest. They shall represent the entire region served by this Corporation and shall vote for the best interest of the area as a whole.   The Board shall have all powers inherent to corporate directors including but not limited to the following: Manage and administer the affairs of the Corporation, each director being entitled to one vote.

  1. Elect the members of the Board and officers of the Corporation as provided in the Articles of Incorporation and these Bylaws.
  2. Appoint such committees as it may deem expedient for the carrying out of the objectives of the Corporation and as may be consistent with these Bylaws and to terminate the authority of any such committee at any time.
  3. Arrange for the raising of funds to support the program of the Corporation and to control the disbursement of these funds.
  4. Employ and authorize the employment of such persons, as it may deem necessary or appropriate for the successful execution of the objectives of the Corporation.
  5. Enter into such agreements with any government or private philanthropic agencies and public and private consulting organizations as, in its judgment, will further the objectives of this corporation.
  6. Otherwise perform such acts and functions which will further the objectives and purposes of the Corporation which are not inconsistent with the Articles of Incorporation or these Bylaws.
   
 
Membership
 The Board shall be composed of up to twenty-seven (27) voting members nominated by the licensed emergency medical services agencies, operational medical directors, hospital facilities, and the Board as follows:

    • Licensed Emergency Medical Services Agencies - 4
    • Operational Medical Directors -1
    • Hospital Facilities - 7
    • City/County Government – 3
    • Military Installations – 1
    • Business – 3
    • Financial Institution – 1
    • Consumer – 3
    • State EMS Advisory Board – 1 (Non-Voting)
    • At Large – up to 3

Directors shall normally serve three-year terms of office, beginning on the date of election, and may serve consecutive terms.  Agency committee representatives shall serve for a period which is concurrent with their election as Chair or Vice Chair of their respective Agency Committee as established above (page 2) in this Section.  The Advisory Board representative’s term shall be concurrent with the Governor’s appointment.

Meeting Schedule

 

Committee meets quarterly on the second Wednesday in  March, June, September and Decemberr at 6 pm in the PEMS conference room.
